The following information has been provided to assist in the preparation of Delaware Business Returns.

 

DE Form 1100

 

Delaware Corporation Income Tax Return help. CrossLink supports the filing of Form 1100 for filers of Federal Form 1120.

General Information

Complete any applicable information in this section. The principal business address in Delaware should be provided if it differs from the business address entered on the Client Data Screen.

 

If the box indicating this is an initial return has been checked on the federal Form 1120, the applicable box on Form 1100 will check as well. If this is the initial return for Delaware, but not the initial return overall, this box can be manually checked. If this is a final return, enter the date the business ceased business operations.

Income Determination

Complete this section to determine the entire net income for Delaware purposes, as well as the Delaware taxable income.

 

Certain subtractions can be directly entered. Complete Schedule 1 to properly allocate interest income and total nontaxable interest to the appropriate lines as subtractions. Complete schedule NBI (Form 1100) to remove applicable nonbusiness income from Delaware net income.

 

Certain additions can be directly entered. Income taxes recorded on the State Estimated Tax Payments on the Income Statement will carry to line 4a. Interest income from obligations of states other than Delaware reported on Schedule 1 will carry to line 4c.

 

If any income is attributable to states other than Delaware, complete the Allocation and Apportionment worksheet in the General Forms. This information is used to determine the Delaware apportionment percentage and to correctly allocate certain types of nonapportionable income. If all income is attributable to Delaware, lines 6 through 11 will remain blank.

 

Estimated or tentative tax paid to Delaware, as well as overpayment from the prior year credited to the current year, should be reported on the State Estimated Tax Payments worksheet on the Income Statement. This information will carry to lines 14 and 15. Any credits against corporate income tax should be reported on Delaware Form 700. This information will transfer to line 17.

Schedule 1 - Interest Income

Use Schedule 1 to properly classify interest income received by the corporation. The totals for column 2 and column 4 will transfer from the Income Statement. All other interest from the Income Statement will total into column 5 and will reduce by amounts entered in columns 1 and 3.

Schedule 2 - Nonapportionable Income

If this corporation has income that must be allocated between Delaware and another state, complete Schedule 2 to properly classify each type of nonapportionable income. Allocate income to the correct state using the Allocation and Apportionment worksheet; the amounts allocated to Delaware will transfer to Column 1. The amounts allocated elsewhere will transfer to column 2.

Schedule 3 - Apportionment Percentage

If this corporation has income that must be apportioned between Delaware and another state, complete Schedule 3 to properly classify each apportionable item. Amounts for the “Within and without Delaware” column will transfer from the federal amounts recorded on the Allocation and Apportionment worksheet. Amounts for the “Within Delaware” column will transfer from the State Property Factor Information, State Payroll Factor Information, and State Sales Factor Information worksheets accessible from the Allocation and Apportionment worksheet.

DE Form 1100S

 

Delaware S Corporation Reconciliation and Shareholder’s Information Return help. CrossLink supports the filing of Form 1100S for filers of Federal Form 1120S.

General Information

Complete any applicable information in this section. The principal business address in Delaware should be provided if it differs from the business address entered on the Client Data Screen.

 

If the box indicating this is an initial return has been checked on the federal Form 1120S, the applicable box on Form 1100S will check as well. If this is the initial return for Delaware, but not the initial return overall, this box can be manually checked. If this is a final return, enter the date the business ceased business operations.

 

If this is an amended Form 1100S, check the applicable box. If this box is checked, enter any payments made with prior 1100S filings on line 10. Note that amended Delaware returns cannot be filed electronically.

Distributive Income Determination

Complete Delaware Schedule A (Form 1100S) to figure the total net income for Delaware purposes.

 

Modifications based on information entered on the Income Statement (interest from U.S. government obligations and interest on obligations of states other than Delaware) will automatically transfer to the appropriate addition or subtraction field. Other modifications can be directly entered.

 

The total nonresident ownership percentage will automatically transfer to line 6 and is used to determine the tax due on behalf of nonresident shareholders. This tax (less any prior payments or approved credits) is due with Form 1100S. Any amounts paid with Form 1100S are credited as a payment against the tax due of any nonresident shareholders filing a composite return on Form 200-C.

 

Estimated or tentative tax paid to Delaware should be reported on the State Estimated Tax Payments worksheet on the Income Statement. This information will carry to line 9. Any approved income tax credits should be reported on Delaware Form 700. This information will transfer to line 11.

 

Delaware will not issue refunds of overpayments to the S corporation.

Schedule 1 - Apportionment Percentage

If this corporation has income that must be apportioned between Delaware and another state, complete Schedule 1 to properly classify each apportionable item. Amounts for the “Within and without Delaware” column will transfer from the federal amounts recorded on the Allocation and Apportionment worksheet. Amounts for the “Within Delaware” column will transfer from the State Property Factor Information, State Payroll Factor Information, and State Sales Factor Information worksheets accessible from the Allocation and Apportionment worksheet.

 

DE Schedule A

 

Complete Delaware Schedule A to reconcile federal ordinary income to Delaware total net income. Amounts for column B will transfer based on information entered on the federal return, but can be adjusted if necessary to reflect Delaware recognition rules.

 

DE Schedule A-1

 

Delaware Schedule A-1 should be used to report each shareholder’s pro rata share of Delaware income, deductions, credits, and any other applicable information. If the shareholder is a resident, column A (Resident) information will populate. If the shareholder is a nonresident, column B (Nonresident) will populate. Nonresident individual shareholders can elect to be included on a composite filing of Form 200-C. This box will automatically check if the shareholder is a nonresident, but can be unchecked if the shareholder should not be included on Form 200-C.

 

DE Form 300

 

Delaware Partnership Return help. CrossLink supports the filing of Form 300 for filers of Federal Form 1065.

General Information

Complete any applicable information in this section. If the box indicating this is a final return has been checked on the federal Form 1065, the applicable box on Form 300 will check as well. If this is the final (dissolved or inactive) return for Delaware, but not the final return overall, this box can be manually checked.

 

If this is an amended Form 300, check the applicable box. Note that amended returns cannot be filed electronically. If the partnership’s address has changed, indicate which address(es) have changed.

 

Information about the number and residency of partners is determined by completing each Schedule K-1 (300).

 

Delaware does not have a form to request an extension of time to file for partnerships. Instead, submit a copy of federal Form 7004 on or before the due date of the partnership return. A photocopy of the approved federal extension must be attached to the final Delaware return when filed. The federal extension will extend the due date of the Delaware return to the same date as the extended federal due date.

Schedule 1 - Partnership Share

Complete Schedule 1 to reconcile federal ordinary income to Delaware total net income. Amounts for column B will transfer based on information entered on the federal return, but can be adjusted if necessary to reflect Delaware recognition rules.

 

Worksheets are available to determine modifications to Delaware income and partnership credits, both of which are then passed through to the partners on Schedule K-1 (300).

Schedule 2 - Apportionment Percentage

If this partnership has income that must be apportioned between Delaware and another state, complete Schedule 2 to properly classify each apportionable item. Amounts for the “Within and without Delaware” column will transfer from the federal amounts recorded on the Allocation and Apportionment worksheet. Amounts for the “Within Delaware” column will transfer from the State Property Factor Information, State Payroll Factor Information, and State Sales Factor Information worksheets accessible from the Allocation and Apportionment worksheet.

 

DE Schedule K-1

 

Delaware Schedule K-1 should be used to report each partner’s distributive share of Delaware income, deductions, credits, and any other applicable information. The partner’s entity type is determined from the information provided on the corresponding federal Schedule K-1 (1065). Residency is defaulted based on the mailing address of the partner, but can be changed by checking the alternative box.

 

Nonresident individual partners can elect to be included on a composite filing of Form 200-C. This box will automatically check if the partner is a nonresident, but can be unchecked if the partner should not be included on Form 200-C.

 

If modifications or credits were reported on Form 300, worksheets will automatically load for Schedule K-1 to reflect each partner’s share of these items.

 

DE Form 1100X

 

Delaware Form 1100X, Delaware Amended Corporation income Tax Return, should be used to report any changes in tax for an already filed return. This type of Delaware return cannot be filed electronically.

 

Complete applicable basic information and answer the questions relating to the reason for filing.

 

Information in Column A will initially populate from Form 1100. Subsequent changes to Form 1100 or source data on the federal return will be reflected in Column C, and the net change will automatically be determined. Amounts paid with original filings of Form 1100 will be reflected on line 19.

 

DE Form 1100-NBI

 

Form 1100-NBI is used to describe and enumerate nonbusiness income. The total amount of nonbusiness income will transfer to Form 1100 as a subtraction from income.

 

DE Form 1100-EXT

 

Use Form 1100-EXT to request an extension of time to file Form 1100. Filing of this form on or before the original due date of Form 1100 will extend the time to file by six months, provided any estimated tax liability is paid as well. Consolidated corporate returns are not allowed under Delaware law, so any corporations that are members of a consolidated group must file separate returns and extension requests.

 

Note that Form 1100-EXT cannot be filed electronically to Delaware.

 

DE Form 1100-T

 

Use Form 1100-T to determine the anticipated estimated tax due for the following tax year and to record payments made towards that liability. Enter the estimated income for the desired year and the liability will calculate, along with the quarterly amounts due. Any overpayment from the current year tax filing that is applied to the following year’s tax liability will reduce the amount due for each quarter to which it can be applied.

 

If electronically filing Form 1100, estimated tax payments figured on Form 1100-T can be scheduled with the Form 1100 filing. See the E-file Authorization Form for Form 1100 for additional details.

 

DE Form 1100S-EXT

 

Use Form 1100S-EXT to request an extension of time to file Form 1100S. Filing of this form on or before the original due date of Form 1100S will extend the time to file by six months, provided any estimated tax liability is paid as well.

 

Note that Form 1100S-EXT cannot be filed electronically to Delaware.

 

DE Form 1100-P

 

Use Form 1100-P to determine the anticipated estimated tax due for the following tax year and to record payments made towards that liability. Enter the estimated income for the desired year and the liability will calculate, along with the quarterly amounts due.

 

If electronically filing Form 1100S, estimated tax payments figured on Form 1100-P can be scheduled with the Form 1100S filing. See the E-file Authorization Form for Form 1100S for additional details.

 

DE Form 200-C

 

Use Form 200-C to file a composite personal income tax return on behalf of electing nonresident owners of either a partnership or S corporation filing in Delaware. This form will load automatically if any Schedules K-1 have the box checked indicating participation in the composite return.

 

Credits and payments made on behalf of the nonresident owners will transfer automatically. Amounts paid with Form 1100S are applied against the nonresident income tax due on Form 200-C.

 

Note that this composite return cannot be filed electronically; it must be mailed to the state.

 

DE E-file Authorization

 

Use the Delaware E-file Authorization worksheet to enable electronic filing of Form 1100, Form 1100S, or Form 300.

 

For returns with Form 1100 or Form 1100S, use the E-file Authorization worksheet to schedule direct debit for both the amount due with the return and for estimated payments for the following tax year. For Form 1100 returns only, use the E-file Authorization worksheet to request direct deposit of any refund due to the taxpayer.
